1. Acceptance of Terms
By accessing or using TowingServiceHub (the "Service"), operated by Unchain Labs LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service (the "Terms") and our Privacy Policy. If you do not agree to these Terms, you may not use the Service. These Terms constitute a binding legal agreement between you and Unchain Labs LLC. We may update these Terms from time to time; continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
2. Description of Service
TowingServiceHub is a driver-facing directory that connects users seeking towing, recovery, and roadside-assistance services with independent third-party tow operators, roadside-assistance providers, and lead distribution network partners. We do not own, operate, employ, control, or supply the towing or roadside services listed on the Service. We are an information and matching platform; the actual services are provided by independent third parties under terms agreed directly between you and those providers.
3. User Responsibilities
You agree to provide accurate, current, and complete information when submitting quote requests or other forms on the Service, and to keep that information updated. You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not submit fraudulent service requests, impersonate any person or entity, submit information for a phone number you do not own or control, or interfere with the operation of the Service. You are responsible for any communications, agreements, or transactions you enter into with third-party tow operators or roadside-assistance providers introduced through the Service.
4. Business Listing Terms
Tow operators and roadside-assistance providers who claim, purchase, or upgrade a listing on the Service agree to these Terms and any separate listing or subscription agreement provided at the time of claim or purchase. Business listings are subject to verification. We reserve the right to decline, modify, suspend, or remove any listing at our sole discretion, including (without limitation) for misrepresentation, fraud, unsafe practices, violations of applicable law, or non-payment. Claimed listings grant the listing operator a non-exclusive, revocable, non-transferable license to use the listing features made available to them.
5. No Endorsement
TowingServiceHub does not endorse, recommend, certify, license, or vouch for any individual tow operator, roadside-assistance provider, or network partner listed on or reachable through the Service. The inclusion of any provider in our directory or the routing of your request to any provider does not constitute a recommendation. Aggregate ratings, badges, or other signals displayed on the Service are informational only and should not be relied upon as a guarantee of quality, safety, licensure, insurance, or fitness for purpose. You are solely responsible for evaluating and selecting any provider you choose to engage.
6. Lead Distribution
When you submit a quote request form, you understand and agree that the information you provide may be transmitted to (i) one or more tow operators and roadside-assistance providers operating in the area you specified, and/or (ii) lead distribution network partners (which may further transmit your information to their approved service-provider clients). You consent to be contacted by these parties at the phone number, email address, and other contact details you provide, in accordance with the consent disclosures shown at the time of submission and our Privacy Policy. You may revoke this consent as described in our Privacy Policy and on our TCPA Consent page.
7. Accuracy Disclaimer
We work to keep information on the Service accurate and current, but we do not warrant that any listing, business hours, phone number, address, price estimate, capacity figure, regulation summary, or other content is complete, current, or free of error. Tow operator pricing, availability, service area, equipment, and licensure can change without notice. State and local towing regulations change and may differ from summaries shown on the Service. You should always verify critical information (price, licensure, insurance, availability) directly with the provider before engaging their services.
8. Intellectual Property
The Service and its original content, features, and functionality โ including text, graphics, logos, icons, images, audio clips, data compilations, calculators, and software โ are owned by Unchain Labs LLC or its licensors and are protected by United States and international intellectual property laws. Except for content you submit and content expressly licensed to you, you may not copy, reproduce, modify, distribute, republish, or create derivative works from any part of the Service without our prior written consent. The TowingServiceHub name, mascot, and logo are trademarks of Unchain Labs LLC.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL UNCHAIN LABS LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING (WITHOUT LIMITATION) LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING ANY TOW OPERATOR, ROADSIDE-ASSISTANCE PROVIDER, OR NETWORK PARTNER; (iii) ANY CONTENT OBTAINED FROM THE SERVICE; OR (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
10. Arbitration Agreement, Class Action Waiver, and Dispute Resolution
THIS AGREEMENT CONTAINS AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT WAIVES YOUR RIGHT TO A COURT HEARING OR JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION. ARBITRATION IS MANDATORY AND THE EXCLUSIVE REMEDY FOR ANY AND ALL DISPUTES UNLESS SPECIFIED BELOW OR UNLESS YOU OPT-OUT.
10.1 Agreement to Arbitrate
You and we each agree that any and all disputes or claims that relate to or arise from your use of or access to our services, or any products or services sold, offered, or purchased through our services, including any contact from our subsidiaries, affiliates, agents, lead distribution network partners (including but not limited to Aragon Advertising LLC and its clients), or any matched tow operator or roadside-assistance provider, shall be resolved exclusively through final and binding arbitration between us and you, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this Agreement to Arbitrate.
10.2 Prohibition of Class and Representative Actions and Non-Individualized Relief
You and we agree that each of us may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding, including but not limited to actions under the Telephone Consumer Protection Act, 47 U.S.C. ยง 227 et seq. Unless both you and we agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims, and may not otherwise preside over any form of a consolidated, representative, or class proceeding. The arbitrator may award relief, including monetary, injunctive, and declaratory relief, only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party's individual claim(s). Any relief awarded cannot affect our other users.
10.3 Arbitration Procedures
The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute arising out of or relating to the interpretation, applicability, enforceability, or formation of this Agreement to Arbitrate, any part of it, or of this Agreement, including any claim that all or any part of this Agreement is void or voidable.
The arbitration will be conducted by the American Arbitration Association ("AAA") under its rules and procedures, including the AAA's Supplementary Procedures for Consumer-Related Disputes (as applicable), as modified by this Agreement to Arbitrate. The AAA's rules and a form for initiating arbitration proceedings are available at http://www.adr.org. The arbitration shall be held in the county in which you reside or at another mutually agreed location. If the value of the relief sought is $10,000 or less, you or we may elect to have the arbitration conducted by telephone or based solely on written submissions, which election shall be binding on you and us subject to the arbitrator's discretion to require an in-person hearing if circumstances warrant.
The arbitrator will decide the substance of all claims in accordance with the laws of the State of Wyoming (consistent with our LLC registration), including recognized principles of equity, and will honor all claims of privilege recognized by law. The arbitrator's award shall be final and binding and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
10.4 Costs of Arbitration
Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules, unless otherwise stated in this Agreement to Arbitrate. If the value of the relief sought is $10,000 or less, at your request, we will pay all filing, administration, and arbitrator fees associated with the arbitration. If the value of the relief sought is more than $10,000 and you can demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, we will pay as much of the filing, administration, and arbitrator fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. In the event the arbitrator determines the claim(s) you assert in the arbitration to be frivolous, you agree to reimburse us for all fees associated with the arbitration paid by us on your behalf.
10.5 Confidentiality
The arbitration proceedings and arbitration award shall be maintained by the parties as strictly confidential, except as is otherwise required by court order or as is necessary to confirm, vacate, or enforce the award and for disclosure in confidence to the parties' respective attorneys, tax advisors, and senior management, and to family members of a party who is an individual.
10.6 Opt-Out Right
You may opt out of this Agreement to Arbitrate within 30 days of first accepting these Terms of Service by sending written notice of your decision to opt out to [email protected] with "ARBITRATION OPT-OUT" in the subject line. Your notice must include your name, the email address you used when accepting these Terms, and a clear statement that you wish to opt out of the Arbitration Agreement.
10.7 Third-Party Beneficiaries
You acknowledge and agree that our lead distribution network partners (including Aragon Advertising LLC and its clients) and matched tow operators and roadside-assistance providers are intended third-party beneficiaries of this Section 10 and may enforce its terms.
10.8 Severability
Except for the provisions in Section 10.2 ("Prohibition of Class and Representative Actions and Non-Individualized Relief"), if an arbitrator or court decides that any part of this Section 10 is invalid or unenforceable, the other parts of this Section 10 shall still apply. If an arbitrator or court decides that any of the provisions in Section 10.2 is invalid or unenforceable, then the entirety of this Section 10 shall be null and void.
10.9 Informal Dispute Resolution
Before initiating arbitration, you agree to first contact us at [email protected] to attempt to resolve any dispute informally. We will respond within 30 days. If the dispute is not resolved informally within 60 days of your initial contact, either party may initiate arbitration as described above.
10.10 Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, consistent with our LLC registration, without giving effect to any conflict of law principles.
11. Termination
We may suspend, restrict, or terminate your access to all or part of the Service, with or without notice, for any reason, including (without limitation) a violation of these Terms, suspected fraudulent activity, unsafe practices, abuse of the Service, or compliance with legal obligations. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination โ including Sections 5, 7, 8, 9, 10, and this Section 11 โ shall survive.
12. Changes to Terms
We may revise these Terms at any time by posting an updated version on the Service and updating the "Last Updated" date above. Changes are effective when posted. Material changes will be highlighted on the Service where reasonably practicable. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to a revised version, you must stop using the Service.
